10). 米国Turbine,Inc.との販売サービス契約(DISTRIBUTION AND SERVICES AGREEMENT)について

　平成16年12月27日に米国Turbine,Inc.と「ダンジョンズ＆ドラゴンズ・オンライン? ストームリーチ? 」の日本国内におけるゲームソフトの販売の契約を締結しております。この契約は平成16年12月27日より平成20年12月27日が契約期間となっております。また、平成18年8月31日に同米国法人と「ロード・オブ・ザ・リングス・オンライン　アングマールの影」の日本国内におけるゲームソフトの販売等を締結しております。この契約は正式サービス開始より４年間が契約期間となっております。

　しかし、いずれの契約も双方の合意をもって自動延長もしくは契約期間内での中途解約を認めるとあり、オンラインゲーム事業が想定した会員数に達しなかった場合であっても、双方の合意がなければ契約期間内での中途解約ができず、契約終了日までサービスの提供を継続しなければならない可能性があります。そのため、オンラインゲーム事業を継続するための運営費等が計上され業績に影響を及ぼす可能性があります。

1． 特別損失の発生について

okay, rough translation... the 1st one explains sales contract Sakura Internet and Turbine originally had, and Sakura's potential risk within;

On December 27 2004, we concluded a sales contract for gaming software, "Dungeons & Dragons Online: Stormreach", with United States Turbine, Inc. In this contract, from December 27 2004 to December 27 2008 was duration of policy.

Moreover, sales contract for gaming software, "Lord of the Rings Online: Shadow of Angmar" were concluded on August 31, 2006. Duration of policy in this contract was, 4 years from beginning of formal service.

However, each contract states automatic extension or dissolution in duration of policy is only admitted within mutual agreement, thus, there is a possibility that we cannot make the dissolution and have to continue the service until the contract end-date, even if it does not reach the number of customers that our online game business have assumed.

Therefore, the management expense and such to continue the online game business has a possibility to impact our achievement.

1. About the generation of the extraordinary expense

In the period of March, 2008, extraordinary expense will be generated for about 272 million yen (2.52 million dollar equivalent value), because of the penalty related to correction of sales/service contract (DISTRIBUTION AND SERVICES AGREEMENT) with United States Turbine,Inc.

However, considering the fact our game contents business didn't reach the number of customers we have assumed, we have reached to a decision that it is suitable to bring forward the time to judge business continuance, by shortening period of sales, operation and such, and reducing the management cost per month, by abolishing fixed royalty payment. Thus we decided to pay penalty to United States Turbine, Inc. and corrected the contract to have changed period of sales and operation until September, 2009.

Sakura Internet fell in temporal insolvency for these online game-related expenses while their main bussiness - internet server hosting was going well. CEO at the time, who was known for being a MMO-fan (i think he was EQ player) had to step down because of this.

While there is nothing announced about future of their online game business yet, its not logical to think they will renew contract with Turbine and continue the business. Stock holders wont simply let them, you know.

Its just a shame, there seemed to be honest customer service, Sakura did everything they could, frequent GM events, offering blog space for the community , heck, they even made the game free to play (until players hit level 5 or something), however, DDO and LotR just didnt cut in Japanese market.
